Navigating Franchise Law

Franchise sales are regulated by the Federal Trade Commission, as well as state law in 15 states. In Michigan, a franchise is required to file a sales notice with the attorney general.

We can assist a franchisor with Uniform Franchise Offering Circular compliance. We can also review this document, as well as other agreements, before a franchisee signs or purchases.

Michigan has some special franchise laws, including a very protective law that permits a new franchisee to escrow the initial franchise fee until initial services (training and consulting services and demographic studies) are received. If franchise laws are violated, a franchisee may rescind the agreement and receive back fees that were paid to the franchisor. Additionally, a franchisor that violates Michigan or federal franchise law may face other civil and criminal penalties.

We can also handle disputes between a franchisor and franchisee, and if it is necessary, we can take your case to trial.
